Terms of Service

These Terms of Service constitute a legally binding agreement made between you and NexaServe concerning your access to and use of our enterprise software development and AI automation services.

1. Enterprise Service Level Agreement (SLA)

For our custom software and managed cloud hosting clients, we guarantee a 99.99% uptime SLA. Scheduled maintenance will be communicated at least 48 hours in advance. Failure to meet the SLA may result in service credits as outlined in your specific Master Services Agreement (MSA).

2. Intellectual Property Rights

Unless otherwise indicated in your custom development contract, upon full payment, all custom code, architectures, and proprietary AI models developed specifically for you become your intellectual property. NexaServe retains rights to underlying open-source libraries and general frameworks used to build the software.

3. Prohibited Activities

You may not access or use the Site or our APIs for any purpose other than that for which we make the Site available. Prohibited activity includes, but is not limited to:

  • Attempting to bypass our security measures or reverse engineer our AI models.
  • Using our SaaS products to distribute malware, spam, or illicit content.
  • Interfering with, disrupting, or creating an undue burden on the networks connected to the Site.

4. Payment and Billing

We accept payments via Stripe. By providing a payment method, you represent and warrant that you are authorized to use the designated payment method. Custom enterprise projects are billed on a milestone basis as defined in the Statement of Work (SOW).
